7. Settlement of disputes. Arbitration

7.1. In case of any disputes or disagreements between the Buyer and the Supplier related to this Contract or the fulfillment or non-fulfillment by any Party of its obligations under the Contract, the Parties will make every effort to resolve them through negotiations.

7.2. If disputes cannot be resolved by negotiation, the Party, which considers that its right has been violated, must first make a written claim to the other Party. A response to such a claim must be sent within 10 business days of receipt. Such kind of correspondence between the Parties may be made by facsimile, with obligatory duplication by mail.

7.3. Controversial issues not resolved in the claim procedure are referred to the Arbitration Court of St. Petersburg in the manner established by the current legislation of the Russian Federation.

8. Other conditions

8.1. This Agreement shall enter into force on the date of its signing by the Parties and will be valid until the completion by the Parties of all obligations under the Agreement.

8.2. This Agreement is signed in 2 (two) copies of equal legal force, one for each of the Parties. Signed using facsimile contract is valid until the Parties receive the originals. The Parties undertake to exchange originals by mail within 30 (thirty) days from the date of signing the Agreement.

8.3. Neither Party will transfer its rights and obligations hereunder without the prior written consent of the other Party.

8.4. This Agreement, including the Specifications, all Annexes and Supplements to it, constitutes one single Agreement between the Supplier and the Buyer, which replaces all other preliminary agreements, agreements and other relations, written or oral, between the Parties relating to the subject matter of this Agreement. Changes and / or additions to this Agreement may be made only in writing by drawing up an Additional Agreement signed by both Parties.

The Parties undertake to comply with the legislation on the protection of copyright, as well as not to disclose to third parties commercial information about each other, which becomes known during the execution of the Agreement.
