Международная торговая палата (мтп)
Международная торговая палата (International Chamber of Commerce, ICC) - всемирная организация, основными задачами которой являются выработка рекомендаций по экономической политике и практике на основе правил торговли и инвестирования, а также разработка стандартов коммерческой деятельности.
МТП создана в 1919 г. Членами МТП являются национальные комитеты и группы более чем из 60 стран. В 75 странах, где такие комитеты или группы не созданы, экономические субъекты (фирмы) осуществляют прямое членство в МТП.
Местонахождение - Париж (Франция).
Основными целями МТП являются:
- представлять торговлю, промышленность, финансы, транспорт, страхование и в целом все сектора международного предпринимательства;
- обобщать позиции отдельных лиц, фирм, корпораций и организаций, участвующих в международной торговле и родственной предпринимательской деятельности, и доводить их до соответствующих межправительственных учреждений и национальных правительств через национальные комитеты, группы и непосредственных членов;
- разрабатывать эффективные и последовательные меры и экономической и юридической областях с целью содействия гармоничному развитию и свободе международной торговли;
- предоставлять практические и экспертные услуги международному сообществу предпринимателей;

CONTRACT
Care must be taken in negotiating contracts for the purchase of raw materials and products, and the importing company should, whenever possible, take legal advice before signing an agreement which could conceivably contain clauses not in the best interests of the importer.
Because of the hundreds of thousands of contracts for regular merchandise that are concluded internationally in the course of a year, most traders use one or other of the standard sets of contract conditions that have been proved and tested for that purpose.
The British Importers Confederation has issued a list of the most important items to be included in any contract. These take in:
Description. A clear description of the goods, their price and quality must be given in detail.
Price. This might cover more than the cost of the goods, and unity, agreed in advance importers could find transport, insurance and other items included in the price.
Specifications. These must comply with UK regulations, particularly those relating to standards, health, safety, agriculture and defence.
Payment. Not only the method of payment (in advance, by орем account, by collection or by letter of credit) but also the due date of payment must be included.
Packing. It is essential that the goods are transported, marked, packed and stored correctly and in such a manner as to be fully protected -
whether they are carried by road, rail, ship or aircraft. Packing must conform to international standards and must comply with Customs regulations.
Transportation. The method is an important consideration, especially if it is included in the price of the goods, so that the alternative methods must be investigated. Much will depend, however, on the type of product and the variety of transport available from the point of supply.
Delivery. Whether the goods are delivered in one consignment or by instalments over a set period, the date(s) and quantity must be stipulated in the contract. It is also advisable to include an inspection clause. This will give time following the arrival of the goods for an inspection and a claim for compensation if they are not in order.
Insurance. Whether insurance is the responsibility of the supplier or the importer must be decided in advance. Proper insurance cover, for the whole period and the different stages of transportation, is vital.
Law. Included in the contract must be the law of the country under which it will be enforced - preferably this should be English Law.

1. Настоящий контракт вступает в силу с момента его подписания обеими сторонами и действует до момента полного выполнения сторонами своих обязательств.
2. Контракт может быть расторгнут досрочно по согласию сторон, на условиях, приемлемых для обеих сторон.
3. Контракт может быть расторгнут одной стороной вследствие нарушения условий контракта другой стороной. В таком случае, к виновной стороне применяются штрафные санкции, оговоренные в статьях 6 и 7 настоящего контракта.
4. Контракт может быть продлён по просьбе Заказчика. Продление контракта, условия и срок продления должны быть оговорены в отдельном Контракте.

Force Majeure
1.A party may claim relief if execution and performance of obligations to the other party under the contract are delayed, impeded or prevented by circumstances beyond its control:
- fire, flood, natural disaster;
- war, military operation of any character, blockades, strikes;
- export prohibitions, currency restrictions or other acts, requirements or needs of any Government or its Departments;
- delay or suspension of transportation of any character, including impossibility to obtain transport means;
- any other reason out of the reasonable party's control, mentioned herein or not.
2.In order to claim relief and thus be relieved from timely performance of obligations, notice must be given promptly to the other party.

1. Любая из сторон имеет право на освобождение от ответственности по контракту, если выполнению ее обязательств перед другой стороной в установленный срок мешают или препятствуют обстоятельства, находящиеся вне её контроля, а именно:
- пожар, наводнение, стихийное бедствие;
- война или боевые действия любою характера, блокада, забастовка;
- запреты на экспорт, валютные ограничения или иные законы, требования или условия какого бы то ни было правительства или ею министерств;
- задержка или приостановка транспортировки, вызванная любыми причинами, включая невозможность обеспечить наличие транспортных средств;
- любые прочие обстоятельства, но поддающиеся контролю в разумных пределах, независимо от упоминании их в настоящих "Условиях".
2. Для получения освобождения от ответственности за невыполнение обязательств в срок необходимо незамедлительно сообщить об это! другой стороне.
3. Надлежащим доказательством наличия таковых обстоятельств и их продолжительности служат справки,

5. A party claiming relief by reason of such circumstances must take all reasonable steps to mitigate their length and effect. Promptly after the termination of the circumstances, the party claiming relief shall forthwith notify the other party in writing.
6. Should Force Majeure circumstances last more than 6 (six) months, either party has the right to terminate all uncompleted obligations hereunder upon written notice to the other party.
7.In the event of Force Majeure situation arising, the Seller will via his bank undertake to reimburse the balance of actual money received less that part of the contract price which corresponds to the fulfilled contract obligations. If the Seller has not been paid for all fulfilled contract obligations, the Buyer shall forthwith pay the agreed amount for such fulfilled obligations.

5. Сторона, которая ходатайствует об освобождении от ответственности по причине вышеуказанных обстоятельств, должна принимать все разумные меры для уменьшения их продолжительности и негативных последствий. 6. В случае, если таковые обстоятельства продлятся более 6 (шести) месяцев, любая из сторон имеет право отменить все свои невыполненные обязательства путём уведомления другой стороны в письменном виде.
7. В случае возникновения форс-мажорных обстоятельств Продавец через свой банк обязуется вернуть остаток фактически полученной по контракту суммы после вычета части контрактной цены, соответствующей выполненным условиям контракта. Если Продавец не получил платы за выполненную им часть обязательств по контракту, Покупатель должен немедленно выплатить обусловленную сумму за выполненные
Disputes and Arbitration
1. Both Parties shall endeavour to meet their obligations according to the terms herein, in all good faith.
2. Both Parties shall take all measures to settle amicably any disputes which may arise from or in connection with their contract.
3. In case of the Parties being unable to arrive at an amicable settlement, all disputes without application to legal courts are to be sub-mitted for the settlement by the Foreign Trade Arbitration Commission and Chamber of Commerce, Germany.
4. The Arbitration Award shall be final and binding on both Parties.
Споры и арбитраж
1. Обе стороны прилагают все усилия, чтобы добросовестно выполнить свои обязательства по контракту в соответствии с настоящими "Условиями".
2. Стороны принимают все меры для разрешения дружеским путем любых споров и разногласий, которые могут возникнуть из или в связи с контрактом.
3. В случае, если стороны всё же не могут договориться между собой, они должны передавать все споры и разногласия, не 1 обращаясь в общегражданский суп, на рассмотрение во Внешнеторговую арбитражную комиссию и Торговую палату ФРГ.
4. Решение вышеуказанных инстанций будет окончательным и имеющим обязательную силу для обеих сторон.
