3. Basic terms of delivery

3.1. The delivery of the FLEXOMACHINE is carried out on term CPT KIEV (Carriage Paid To Kiev) (lncoterms-2000). The SELLER provides insurance on his own discretion. Term of carried FLEXOMACHINE to KIEV - before 04.02.2007 Unit of measure — set.

3.2. The SELLER bears all risks and ex-penses before the moment when the FLEXOMACHINE is unloaded on the BUYER'S site.

3.3. The BUYER bears all risks and expenses from the moment when unloading of the FLEXOMACHINE on the BUYER'S site is finished.

3.4. Term of delivery of the FLEXOMACHINE before 04.02.2007; Term of putting the FLEXOMACHINE into the operation is February 2007.

4. Price and total value of the contract

1. Currency of payment according this present Contract is EUR.

2. The total value of this present Contract equals 36 500 (thirty six thousand five hundred) EUR. Including.

4.2.1. 36 500 (thirty six thousand five hundred) EUR for the FLEXOMACHINE, dismantlement, loading operations, export customs транспортних витрат, тари, мар­кірування, упакування, монтажу, пусконалагоджувальних робіт і здачу в експлуатацію ПОКУП­ЦЮ.

5. Умови платежу

5.1. Оплата Контракту виробля­ється в 2 етапи після одержання ПОКУПЦЕМ безумовної гарантії повернення авансового платежу з банку ПРОДАВЦЯ. Гарантія по­винна бути випущена банком ПРОДАВЦЯ у вигляді тестова­ного телексного повідомлення на адресу банку ПОКУПЦЯ. Телекс: 631349 ZGODA UX. Термін дії гарантії до 01.02.2007 р. у випадку перенесення термі­нів демонтажу, відвантаження, монтажу, здачі в експлуатацію відповідно змінюється термін дії гарантії за узгодженням СТОРІН.

1. Перша передоплата в сумі 15 000 (п'ятнадцять тисяч) EUR виробляється покупцем банків­ським переведенням по Invoice ПРОДАВЦЯ на рахунок ПРО­ДАВЦЯ протягом 3-х банківсь­ких днів. Перша передоплата ви­робляється за 10 днів до початку демонтажу ФЛЕКСОМАШИНИ по повідомленню ПРОДАВЦЯ про дату демонтажу.

2. Друга сума 21 500 (двадця­ть одна тисяча п'ятсот) EUR ви­робляється ПОКУПЦЕМ банків­ським переведен-ням по Invoice ПРОДАВЦЯ на розрахунковий рахунок ПРОДАВЦЯ протягом 3-х банківських днів. Друга пе­редоплата виробляється після митного оформлення вантажівки з завантаженої ФЛЕКСОМА-ШИНОЮ ПРОДАВЦЕМ.

5. Payment conditions

5.1. Payment of the Contract should be effected in 2 stages. The BUYER receives unconditional Advance Payment Guarantee from the Bank of the SELLER. Guarantee should be issued by the authorized Bank of SELLER in the form of tested telex message and to be sent to the Bank of the BUYER.

Telex number 631349 7.GODA UX. Guarantee is to be valid till 01.02.2007. If period of time for dismantlement, shipment, installation putting into operation is postponed, Guarantee period will be changed by the mutual agreement of the Parties.

1. First payment in amount 15 000 (fifteen thousand) EUR is executed the BUYER on the SELLER'S account via Bank remittance against the SELLER'S Invoice within 3 banking days. First payment should be done 10 (ten) days before dismantlement of the FLEXOMACHINE by the SELLER'S notification.

2. The second Payment in amount 21 .500 (twenty one thousand five hundred) EUR is executed on the SELLER'S account via Bank remittance within 3 banking days against invoice. The second prepayment is executed before is loaded the FLEXO­MACHINE on the truck and customs declaration is done.

5.1.3. Банківські витрати на тери­торії Данії несе ПРОДАВЕЦЬ. Банківські витрати за межами Данії оплачуються за рахунок ПОКУПЦЯ.
