8. Patents

The Seller guarantees to the Buyer that the goods delivered by him are free and shall be free from any rights or claims of third persons which are based on industrial property or other intellectual property.

In case third persons make any claims to the Buyer and/or his clients, based on the violation of their rights of industrial property or other intellectual property, the Seller must settle such claims and/ or suits at his own expense and indemnify all the losses, including expenses incurred by the Buyer and/or his clients.

The Buyer must within a reasonable period of time after he learned about such claims and/or

Все споры или разногласия, могущие возникнуть из настояще­го контракта или в связи с ним, подлежат, с исключением подсуд­ности общим судам, разрешению во Внешнеторговой арбитражной комиссии при Торгово-промыш­ленной палате России в Москве в соответствии с Правилами произ­водства дел в указанной Комиссии.

Решение арбитража является окончательным и обязательным для обеих сторон.

11. Инспектирование и испытание

1. Покупатель имеет право посылать своих инспекторов на за­воды Продавца и субпоставщиков, проверить в любые нормальные рабочие часы их предприятий из­готовление и качество заказанно­го оборудования и используемых материалов.

2. До проведения инспекти­рования и испытания оборудова­ния на заводах Продавца и/или субпоставщиков Продавец обязан по просьбе Покупателя обеспе­чить инспекторам Покупателя оз­накомление и изучение аналогич­ного действующего оборудования, изготовленного Продавцом.

10. Arbitration

All disputes of differences which may arise out of or in con­nection with the present Contract are to be settled, jurisdiction of ordinary courts being excluded, by the Foreign Trade Arbitration Commission at the Russian Cham­ber of Commerce and Industry, Moscow, in accordance with the Rules of Procedure of the said Com­mission.

The award of the Arbitration is final and binding upon both parties.

11. Inspection and test

1. The Buyers have the right to send their inspectors to the Sellers' and their sub-contractors' factories to inspect at any normal working hours of the Sellers' and their sub-contractors' factories the workmanship and quality of the contracted equipment and of the materials used.

2. Before the inspection and test of the equipment at the Sellers' and/or their sub-contractors'facto­ries the Sellers at the Buyers' requ­est are to provide an opportunity for the Buyers' inspectors to study and acquaint themselves with the simi­lar operating equipment manu­factured by the Sellers.

11.3. Извещение Продавца о го­товности оборудования к испыта­нию должно быть послано в Торг­предство России в стране Продав­ца и в копии Покупателю и получе­но Торгпредством не позднее чем за 15 дней до начала испытания.

Если в течение 15 дней с даты получения извещения Покупа­тель сообщит Продавцу, что его инспектор не сможет присутство­вать при испытании или Продавец не получит за это время никакого извещения, Продавец вправе про­вести испытание в отсутствие ин­спектора Покупателя. Если испы­тание подтвердит соответствие оборудования требованиям кон­тракта, Продавец предоставит По­купателю протокол испытания. Один экземпляр указанного про­токола должен быть направлен Продавцом в Торгпредство России в стране Продавца для получения разрешения на отгрузку.

11.4.Продавецдолженпредоста-вить за свой счет в распоряжение инспектора Покупателя все необхо­димые средства для инспектирова­ния оборудования и материалов в соответствии с условиями, сущест­вующими в данной отрасли промыш­ленности страны Продавца, а также, при необходимости, переводчика.

11.3. The Sellers' notification of the readiness of the equipment for test it to be sent to the RussianTrade Representation in the Sellers' country and a copy to the Buyers and received by the Trade Representation not later than 15 days before the beginning of the test.

Should the Buyers or their representative within 15 days from the date of receipt of the Sellers' notification inform the Sellers that the Buyers' inspector cannot be present at the test or should the Sellers fail to receive any infor­mation within the said period, the Sellers are entitled to perform the test without the Buyers' inspector. If the tests have proved that the equipment meets the requirements specified in the Contract Sellers shall present to the Buyers the Test Report. One copy of the above Report is to be sent by the Sellers to the Buyers' representative at the Russian Trade Representation in the Sellers' country to obtain the Release note for Shipment.

11.4. The Sellers are to place at their expense at the disposal of the Buyers' inspector all the facilities required for inspection of the equipment and materials in accordance with the conditions existing in this branch of industry in the Sellers' country as well as an interpreter if necessary.

The Sellers shall render any assistance that can be required in

5. Испытание оборудования должно проводиться на заводах Продавца и/или субпоставщиков за счет Продавца в присутствии инспектора Покупателя, о чем со­ставляется соответствующий про­токол с указанием в нем суще­ственных подробностей и резуль­татов испытания, а также соответ­ствует ли оборудование условиям контракта.

6. В случае, если Продавец и/или инспектор Покупателя ус­тановит, что оборудование не со­ответствует условиям контракта и/или имеет дефекты, Продавец обязан немедленно своими сред­ствами и за свой счет устранить обнаруженные недостатки, при­чем в этом случае срок поставки, установленный контрактом, не подлежит продлению.

По устранении дефектов обо­рудование должно быть по требо­ванию Покупателя испытано вновь с соблюдением условий, пре­дусмотренных настоящей статьей.

11.7. Присутствие инспектора Покупателя при проведении Про­ давцом испытаний, как указано выше, так же как и выдача им раз­ решения на отгрузку, не освобож­ дает Продавца от принятых им на

5. The test of the equipment is to be effected at the Sellers' and/or their sub-contractors' factories at the expense of the Sellers in the presence of the Buyers' inspector and is to be fixed in a corresponding Report stating essential details and test results as well as conformity or non-conformity to the terms and conditions of the Contract.

6. Should the Sellers and/or the Buyers' inspector find that the equipment is not in conformity with the terms of the Contract and/or is defective, the Sellers are to eliminate the defects immediately at their expense and by their means, but in this case the time of delivery stipulated in the Contract is not to be extended.

When the defects have been eliminated, the equipment shall be tested again on the Buyers' demand with observance of the conditions stipulated by the present article.

11.7. The presence of the Buyers' inspector at the test performed by the Sellers as stated above as well as the issue of Release note for Shipment by the Buyers' inspector do not free the Sellers from their

11.8. Окончательные испыта­ния и приемка оборудования про­изводятся в России после оконча­ния монтажа и наладки по дости­жении предусмотренных в кон­тракте количественных и каче­ственных показателей.

После проведения окончатель­ных испытаний составляется «Про­токол проведения окончательных испытаний и пуска оборудования в эксплуатацию», который подпи­сывается представителями Про­давца и Покупателя и в котором фиксируются подробные резуль­таты проведенных испытаний.

Дата подписания «Протокола проведения окончательных испы­таний и пуска оборудования в эк­сплуатацию» является датой пус­ка оборудования в эксплуатацию.
